The board of directors of Archimedes Tech SPAC Partners II Co. (“ATII”) unanimously approved the merger of ATII with and into ATII Holdings Inc., a Delaware corporation and a wholly-owned subsidiary of ATII. ATII Holdings will be the surviving entity in this merger pursuant to the Merger Agreement. Depending on the SEC filing type, they will be under ATII or ATII Holdings.
